
Earlier, ICSI has made a representation to the Ministry of Corporate Affairs desiring modifications in the layout of Form MGT-8 in the context of the revised MGT-7 form. On July 18, 2025, an advisory has been issued by the Institute of Company Secretaries of India (ICSI) for the certification process for Form MGT-7 under the new MCA V3 portal that has been introduced.
After the release of annual filing forms on the MCA 21 V3 portal by the Ministry of Corporate Affairs (MCA), the advisory has arrived. The modifications have been effected through amending the Companies (Management and Administration) Rules, 2025, which now integrate MGT-8 certification into the e-form MGT-7 as a static field.
The ICSI advisory stresses that the certification in Form MGT-8 is now embedded within the E-form MGT-7 on the V3 portal. Even after the integration, ICSI has recommended that any qualifying remarks concerning compliance may still be added under the ‘Optional Attachment’ field in Form MGT-7, specifically regarding the embedded portion of Form MGT-8, as described in Frequently Asked Questions (FAQ No. 37) issued by the MCA for Lot 3 forms.

ICSI, to keep due diligence and maintain professional credibility, recommended its members to continue certifying compliance under Form MGT-8 on the letterhead of a peer-reviewed practice unit.
As per the Institute guidelines, ICSI suggests generating a Unique Document Identification Number (UDIN) and attaching the same certificate as an optional attachment to Form MGT-7 until any further clarifications or rules on this subject are issued by MCA.
On June 6, 2025, representation has been made by the ICSI asking for modifications in the layout of Form MGT-8 in the context of the revised MGT-7 form.
